Terms of Service
Last updated: May 2026
1. Agreement
These Terms of Service ('Terms') govern your use of the ConvertSprout website (convertsprout.com), the contact form, and any services you purchase from us. By submitting the contact form or signing a service agreement with us, you agree to these Terms.
[CONFIRM: ConvertSprout is operated by Thrive Unlimited — confirm exact legal entity name (e.g., 'Thrive Unlimited LLC' or 'Thrive Unlimited, Inc.').] Throughout these Terms, 'we', 'us', and 'our' refer to that entity. 'You' refers to the individual or business engaging our services.
2. Services
ConvertSprout provides custom website design, development, hosting, and maintenance services for home services businesses (HVAC, plumbing, electrical, roofing, and adjacent trades).
Our recurring service tiers (currently Foundation, Momentum, Accelerator, and Engine) and one-time build options (Starter, Pro, Multi-location) are described in detail on our pricing page (convertsprout.com/pricing). Any features, deliverables, and pricing on that page are part of these Terms unless we agree otherwise in writing.
3. Customer responsibilities
To deliver our services effectively, we need certain things from you. By engaging us, you agree to:
- Provide accurate information about your business, services, and any brand assets you own.
- Hold rights or licenses to any content (logos, photos, copy) you provide for use on your website.
- Respond to design preview and revision requests within a reasonable timeframe.
- Pay invoices according to the schedule and tier you've selected.
- Not use your website for unlawful activity or in ways that violate third-party rights.
- Maintain control of your domain registrar account and provide us access when needed for DNS or SSL setup.
4. Build process and timelines
Our standard build timeline is three (3) weeks from a signed contract to a live site for Starter and Pro builds, and four to six (4–6) weeks for Multi-location builds. Timelines depend on your timely provision of content, brand assets, and feedback on design previews.
Build fees are billed at project kickoff and cover everything from discovery through launch, including one round of revisions. Additional rounds of revision are quoted separately.
5. Recurring service and billing
Recurring service tiers are billed monthly in advance. The monthly fee is charged to your chosen payment method (processed by Stripe) on the same day each month from your start date.
You may switch between tiers at any time. Tier changes pro-rate at the next billing cycle.
All fees are non-refundable except where required by law or where we cancel service due to our error or inability to deliver.
6. Cancellation, ownership, and offboarding
There are no long-term contracts. You may cancel recurring service at any time by emailing us. Cancellation takes effect at the end of the current billing cycle; no further charges occur after cancellation.
You own the code that comprises your website. Upon cancellation or upon request at any time, we will transfer the GitHub repository containing your site's source code to your control, along with a one-page handoff document covering DNS configuration, environment variables, and the basics of self-hosting on Vercel.
You retain ownership of all your business information, content, photos, and brand assets at all times. We hold limited license to use these only for the purpose of delivering your service.
7. Workmanship warranty
We warrant that our work will be performed in a professional manner consistent with industry standards. For ninety (90) days following the launch of your site, we will fix any defects in our build at no additional charge.
[TEMPLATE: standard warranty exclusions] This warranty does not cover issues caused by modifications you or third parties make to the site after launch, by changes to third-party services we integrate with, or by your failure to maintain ongoing service with us.
8. Limitation of liability
[TEMPLATE: standard limitation-of-liability cap — review whether the 'amount paid in the prior 12 months' cap is the cap you want, and adjust if needed.] To the maximum extent permitted by law, our total liability to you for any claim arising out of these Terms or our services is limited to the greater of (a) the total fees you have paid us in the twelve (12) months preceding the claim, or (b) one thousand dollars ($1,000).
[TEMPLATE: standard consequential damages disclaimer] In no event will we be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption — even if we have been advised of the possibility of such damages.
9. Intellectual property
The ConvertSprout name, logo, and the design of the marketing site (convertsprout.com) are our intellectual property.
The code and design of YOUR website, once built, is yours as described in section 6. We retain a perpetual, non-exclusive right to reference the work in our portfolio, demos, and marketing materials — including showing screenshots and linking to the live site — unless you specifically request otherwise in writing.
10. Indemnification
[TEMPLATE: standard indemnification clause — confirm scope] You agree to indemnify and hold harmless ConvertSprout and its representatives from any claims, damages, or expenses arising from (a) content you provide for inclusion on your website, (b) your use of the website to engage in unlawful activity or violate third-party rights, or (c) your breach of these Terms.
11. Governing law and dispute resolution
[CONFIRM: Massachusetts] These Terms are governed by the laws of the state of [confirm state], without regard to conflict-of-laws principles. Any dispute arising under these Terms will be resolved in the state or federal courts located in [confirm county and state]; you and we consent to personal jurisdiction in those courts.
[TEMPLATE: optional arbitration / class-action waiver — these are commonly included in SaaS terms but are controversial; confirm whether to include or remove.] You and we agree that any dispute will be resolved on an individual basis and not as part of a class action.
12. Termination by us
We reserve the right to terminate service to any customer who materially breaches these Terms, fails to pay invoices on time, uses the service to engage in unlawful activity, or otherwise abuses the relationship. In the event of termination by us for cause, we will transfer your code per section 6, but recurring fees paid in advance are non-refundable.
13. Changes to these Terms
We may update these Terms from time to time. When we make material changes, we will update the 'Last updated' date at the top of this page and notify existing customers by email. Continued use of our services after the update constitutes acceptance of the updated Terms.
14. Miscellaneous
[TEMPLATE: standard severability + entire-agreement + force-majeure language] If any provision of these Terms is held to be unenforceable, the remaining provisions remain in effect. These Terms, together with any signed service agreement, constitute the entire agreement between us. Neither party is liable for delays caused by events beyond reasonable control (force majeure).
